A limited company must comply with the various
provisions in the Companies Ordinance (Chapter 622 of the Laws of Hong Kong). It includes the timely disclosure and reporting of specified
information about the company, its officers and shareholders, etc. and any
changes in such information to the Registrar of Companies. Every officer of a company, including its director(s),
company secretary or manager, has the responsibility to ensure that the company
has complied with all the provisions of the Companies Ordinance.
Timely Report
Timely report of the required information to the Registrar of Companies is very important.
Fail to Report Timely
If a company fails to report the change of its name to
the Registrar of Companies within 15 days after the passing of the special
resolution to change its name, the company, and every responsible person of the
company, commit an offence, and each is liable to a fine and, for a continuing
offence, to a further daily default fine.
Annual Return Submission
A local private company must in respect of every year deliver its annual return to the Registrar of Companies for registration within 42 days after the anniversary of the date of the company's incorporation in that year. A substantially higher registration fee ranging from HK$870 to HK$3,480 will be payable for the late delivery of an annual return of a local private company.
Responsible Person
If a company fails to comply with the requirements of the Ordinance, the company and every responsible person of the company shall be liable to prosecution.
